Welcome to Memoriya. Memoriya is a service owned and operated by Built By Signal LLC, an Ohio limited liability company ("Built By Signal," "we," "us," or "our"). These Terms of Service are a binding agreement between you and Built By Signal LLC, and by accessing or using our platform you agree to be bound by them. Memoriya is a relationship memory platform that helps you capture and remember meaningful moments and details in your personal connections.

If you do not agree to these terms, please do not use our service. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.

Relationship Data and User Responsibility

You are solely responsible for all content you submit to Memoriya, including memories, moments, and any personal information about yourself or others. You agree that:

• You have the right to share any information you upload
• You will not submit false, misleading, or harmful content
• You respect the privacy and consent of others mentioned in your entries
• You understand that shared relationship data may be visible to invited partners

Subscription and Billing

Memoriya may offer both free and paid subscription tiers. All paid subscriptions are billed by Built By Signal LLC, and all fees are stated in advance. You authorize Built By Signal LLC to charge your payment method for all applicable fees. A paid plan may begin with a free trial period; we collect a payment method when the trial starts, and if you cancel before the trial ends you are not charged. Subscriptions auto-renew unless cancelled before the renewal date.

We honor a 30-day money-back guarantee on your first paid subscription purchase. Email us at hello@memoriya.app within 30 days of that charge and we will refund it in full to your original payment method, no questions asked. Outside of that guarantee, fees are non-refundable except as required by law.

Intellectual Property

Memoriya and its original content, features, and functionality — including the Memoriya name and brand — are owned by Built By Signal LLC and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your submitted content, but grant Built By Signal LLC a license to use, store, and process it to provide the service.

Limitation of Liability

To the maximum extent permitted by law, Built By Signal LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Section 10

Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason. You may close your account at any time through your account settings. Upon termination, your data will be handled in accordance with our Privacy Policy.

Section 11

Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the platform. Your continued use after such notification constitutes acceptance of the updated terms.

Section 12

Governing Law

These Terms of Service are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-law principles. Memoriya is operated by Built By Signal LLC from Ohio, and any dispute arising from these terms or your use of the service will be resolved in the state or federal courts located in Ohio, unless applicable law requires otherwise.
